Subscription Agreement

The Subscription Agreement is provided to the potential investor along with the Offering/Private Placement Memorandum, Prospectus/Business Plan and operating agreement (whether for a Limited Partnership, LLC or other business entity). The Subscription Agreement contains specific "securities language" which puts the investor on notice of the high risk factors involved in making an investment of this sort and contains a detailed questionnaire which must be filled out by the investor in order to determine whether the investor is an accredited investor under Securities Laws (see section entitled "Securities Issues").
